1. INTRODUCTION

These Terms and Conditions (“Terms” or “Agreement”) constitute a legally binding agreement between you (“User,” “Customer,” “you,” or “your”) and Therfamo Digital Technology Limited (“Therfamo Digital,” “Company,” “we,” “us,” or “our”), a company duly incorporated under the laws of the Federal Republic of Nigeria.

By accessing or using our website (www.therfamo.com⁠ software platforms, applications, APIs, or any related services (collectively, the “Services”), you agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately discontinue use of the Services.

2. SCOPE OF SERVICES

These Terms govern your use of the following products and services:

Comply Invoice – NRS-Compliant e-Invoicing Solution

Comply ERP & CRM – Enterprise Resource Planning and Customer Relationship Management System

Comply Health – Hospital Information Management System

Comply School – School Administration System

Any associated websites, mobile applications, APIs, and digital platforms operated by Therfamo Digital

Certain Services may be subject to additional product-specific terms, which shall form part of this Agreement where applicable.

3. ELIGIBILITY

To use the Services, you must:

Be at least eighteen (18) years of age;

Have the legal capacity to enter into binding agreements;

Be duly authorized to bind any entity you represent.

We reserve the right to refuse or restrict access to the Services at our sole discretion.

4. ACCOUNT REGISTRATION

Access to certain Services may require account registration. You agree to:

Provide accurate, current, and complete information;

Maintain the confidentiality of login credentials;

Promptly update account information as necessary.

You are solely responsible for all activities conducted under your account.

5. DESCRIPTION AND MODIFICATION OF SERVICES

Therfamo Digital provides cloud-based enterprise software solutions including invoicing, ERP, CRM, health management, and school administration systems.

We reserve the right, at our sole discretion, to:

Modify, enhance, or remove features;

Introduce new services or functionalities;

Discontinue any part of the Services;

Perform maintenance or updates that may temporarily affect availability.

6. REGULATORY AND THIRD-PARTY INTEGRATIONS

Certain Services may integrate with third-party systems, including but not limited to:

Government platforms

Access Point Providers

Payment Service Providers

Financial institutions

External APIs

Therfamo Digital does not control third-party systems and does not guarantee uninterrupted access, compatibility, or performance of such integrations.

We shall not be liable for disruptions, errors, or failures caused by third-party providers.

Users remain solely responsible for ensuring compliance with applicable laws, regulations, and reporting obligations relevant to their business operations.

7. SUBSCRIPTION, BILLING, AND PAYMENTS

Services may be offered under the following billing structures:

Daily

Weekly

Monthly

Quarterly

Semi-Annual

Annual

Custom enterprise plans

7.1 Payment Terms

Fees are payable in advance unless otherwise agreed in writing.

Subscriptions automatically renew unless cancelled prior to the renewal date.

All fees are non-transferable and exclusive of applicable taxes.

7.2 Refund Policy

Refund eligibility depends on the applicable subscription plan and product-specific policy.

Refunds:

Apply only to successful payments;

Do not apply to failed or pending transactions;

Must comply with stated refund timelines;

May be subject to third-party payment provider or app store policies.

8. USER RESPONSIBILITIES

You agree to:

Provide accurate and lawful data;

Maintain appropriate internal security safeguards;

Use the Services in compliance with applicable laws and regulations;

Avoid fraudulent, deceptive, or unlawful activities.

You are solely responsible for:

Regulatory filings and compliance;

Tax obligations;

Data accuracy;

Business decisions made based on system outputs.

9. INTELLECTUAL PROPERTY

All intellectual property rights in the Services, including but not limited to software, source code, architecture, branding, trademarks, logos, and documentation, are the exclusive property of Therfamo Digital Technology Limited.

Subject to compliance with these Terms, users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services.

You may not, without prior written consent:

Reverse engineer or decompile;

Copy or reproduce;

Modify or create derivative works;

Resell, sublicense, or distribute;

Exploit the Services for unauthorized commercial purposes.

10. DATA PROTECTION AND PRIVACY

Your use of the Services is subject to our Privacy Policy.

Therfamo Digital processes personal data in accordance with:

The Nigerian Data Protection Act (NDPA);

Applicable international data protection standards;

Recognized industry security practices.

We do not sell personal data to third parties.

11. CONFIDENTIALITY

Each party agrees to maintain the confidentiality of proprietary or sensitive information disclosed in connection with the Services.

This obligation shall survive termination of this Agreement.

12. SERVICE AVAILABILITY AND DISCLAIMER

The Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Therfamo Digital disclaims all warranties, whether express or implied, including but not limited to:

Continuous or uninterrupted availability;

Error-free operation;

Compatibility with all systems or devices;

Regulatory acceptance of outputs generated by the system.

Use of the Services is at your sole risk.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Therfamo Digital shall not be liable for:

Indirect, incidental, or consequential damages;

Loss of profits, revenue, or data;

Business interruption;

Regulatory penalties;

Losses resulting from user negligence or misuse.

The Company’s total aggregate liability arising out of or relating to these Terms shall not exceed the total fees paid by the User in the three (3) months preceding the event giving rise to the claim.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Therfamo Digital from and against any claims, liabilities, damages, losses, and expenses arising from:

Misuse of the Services;

Regulatory non-compliance;

Violation of third-party rights;

Fraudulent or unlawful activities.

15. SUSPENSION AND TERMINATION

We may suspend or terminate access to the Services if:

You breach these Terms;

Fraudulent activity is suspected;

Regulatory risk is identified;

Payment obligations are not fulfilled.

Termination does not relieve you of outstanding financial obligations.

16. MODIFICATIONS TO TERMS

We reserve the right to amend these Terms at any time. Updated Terms will be published on our website.

Continued use of the Services after such updates constitutes acceptance of the revised Terms.

17. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

18. FORCE MAJEURE

Therfamo Digital shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including but not limited to:

Government actions;

Natural disasters;

Internet or infrastructure disruptions;

System outages;

Acts of war or civil unrest.
